AMEDA* “I BREASTFEED BECAUSE” OFFICIAL SWEEPSTAKES TERMS AND CONDITIONS

NO PURCHASE NECESSARY TO ENTER OR WIN. SWEEPSTAKES VOID WHERE PROHIBITED. Entrance in the Sweepstakes constitutes acknowledgement of, full and unconditional agreement to, and acceptance of, these Official Sweepstakes Terms and Conditions.

SWEEPSTAKES DESCRIPTION

Ameda’s* “I Breastfeed Because” Sweepstakes (“Sweepstakes”) opens at 12:00 a.m. Eastern on August 1, 2010 and closes at 11:59 p.m. Eastern on September 15, 2010. Entrants (defined below) may upload a video, tweet or comment to complete the statement: “I breastfeed because . . . .” For each such entry ($5.00 per video upload or $1.00 per tweet or comment, per Entrant, per day), Ameda will make a charitable contribution, up to a maximum total charitable contribution of $10,000.00, to a charity chosen in Ameda’s sole discretion. Each Entrant, regardless whether the charitable donation applies, will be entered into the Sweepstakes to win (1) Grand Prize of an American Express® card, valued at $2,500.00, for a Nursery Makeover, and (25) Second Prizes of an American Express® card, valued at $50.00.

ELIGIBILITY

The Sweepstakes is open to any legal resident of the fifty states of the United States (“U.S”), who, at the time of participation, is a parent or legal guardian, 18 years of age or older, with at least one child or who is expecting a child (“Entrant”). Employees, officers, and directors of Evenflo, its affiliates, subsidiaries, or representatives, their immediate family members and persons living in their same household, are not eligible to participate in the Sweepstakes. This Sweepstakes is offered in the U.S. only and subject only to U.S. law. Do not enter the Sweepstakes if you are not a legal U.S. resident and do not reside in the U.S.

HOW TO ENTER

Go online to www.ibreastfeedbecause.com, read these Official Terms and Conditions, acknowledge and accept these Terms and Conditions, and provide your video upload, tweet or comment to complete the statement: “I breastfeed because . . . .” One entry per day will be accepted from an Entrant, and only one charitable donation per Entrant per day will be made by Ameda, up to a total maximum charitable contribution for the entire Sweepstakes of $10,000.00. Video uploads, tweets and comments completing the statement, “I breastfeed because . . . ,” will continue to be accepted after the Sweepstakes entry period closes at 11:59 p.m. on September 15, 2010, but such uploads, tweets and comments will not be eligible for participation in the Sweepstakes and will not initiate a charitable donation by Ameda.

PUBLIC DISPLAY OF SUBMISSIONS

All “I Breastfeed Because” submissions (whether by tweet, comment or video) may be publically displayed on www.ibreastfeedbecause.com or a related website and may be made available for public display through other means or media. Evenflo therefore reserves the right to decline or remove from posting any submission that contains inappropriate material or is inconsistent with the purposes of the Sweepstakes or the breastfeeding community, as determined by Evenflo in its sole and absolute discretion. Entrants are expected to submit entries appropriate for use and viewing on a public website and should exercise the same discretion employed in any other public setting regarding appropriateness of audio and visual content and messaging. All video submissions must include the Entrant’s image and audio clarity of the entrant's voice.

SELECTION OF WINNERS

The Grand Prize Winner and each of the (25) Second Prize Winners will be randomly chosen by Ameda. Only one Winner per household will be permitted. Winners will be selected no later than September 20, 2010. If any Winner fails to respond within five (5) business days to notice of winning by Ameda or Sponsor, another Winner will be selected randomly as a replacement. Winners may be announced on www.ibreastfeedbecause.com and/or a related Ameda website at a later date. The winning entries and/or Entrants may be featured on www.ibreastfeedbecause.com and/or a related Ameda website.

PRIZES

One (1) Grand Prize of an American Express® card, valued at $2,500.00, for a Nursery Makeover, and twenty-five (25) Second Prizes of an American Express® card, valued at $50.00.

TAX CONSEQUENCES

There may be federal, state or local tax consequences that arise for the Entrant as the result of participation in the Sweepstakes. The determination of liability for any federal, state or local taxes that may arise out of the Entrant’s participation in the Sweepstakes (including receipt of any prizes), and the payment of any such tax liability, shall be the sole responsibility of the Entrant. However, should federal, state or local law impose any tax reporting or filing obligations on Evenflo arising out of the Entrant’s participation in the Sweepstakes (including Entrant’s receipt of any prizes), the Entrant agrees to timely provide Evenflo with any information that is reasonably needed for Evenflo to comply with any such reporting or filing obligations. In addition, should federal, state or local law impose any tax withholding obligation on Evenflo with respect to Entrant’s receipt of any prizes, the Entrant agrees to such withholding and shall timely provide any information to Evenflo as may be required for Evenflo to accomplish such withholding.

PROMOTION RELEASE

By participating in the Sweepstakes, and in addition to any other rights or uses granted by Entrant in any other agreements, Entrant, for him/herself and on behalf any minor child participating or appearing in any entry, irrevocably transfers, grants and assigns to Evenflo, its affiliates and its respective successors, assigns, and licensees, the right worldwide and in perpetuity, to use all entries and the Entrant’s name, likeness, image, video content and photographs, including any reproductions of same,in any and all media, including, without limitation, use on websites in connection with the Sweepstakes or other promotions, for any advertising or promotional purposes without additional compensation, and releases Evenflo and any entity acting on behalf of Evenflo from any liability with respect thereto.

RELEASE OF LIABILITY

Entrant, for him/herself, and on behalf of any minor child participating or appearing in any entry, agrees that Evenflo, its affiliates and its employees, officers, directors, shareholders, agents, representatives, its respective successors, assigns, agencies and licensees shall not be liable for any personal injury, death, loss or damage of any kind or any other causes of action or claims related to Entrant’s participation in this Sweepstakes or acceptance or use of the prizes awarded, including, without limitation, any claims based on publicity rights, defamation, or invasion of privacy.

GENERAL CONDITIONS

Evenflo is not responsible for lost, late, illegible, stolen, incomplete, invalid, unintelligible or misdirected entries, which will be disqualified, or for problems of any kind whether mechanical, human or electronic. Only fully completed entries actually received by Evenflo are eligible. Proof of submission will not be deemed to be proof of receipt by Evenflo.

GOVERNING LAW

These Terms and Conditions shall be interpreted and enforced in accordance with the laws of the State of Ohio, without regard to conflicts of law principles. Any and all actions, proceedings and disputes between the parties, irrespective of place of execution or performance, shall be instituted and resolved in the federal or state courts located in Ohio. Each party consents to the exclusive jurisdiction of the courts located in Ohio.
